Terms of Service

1. Who we are

wakeup.sh is operated by Above The Fold Pty. Ltd. (ABN to be confirmed), an Australian company, trading as wakeup.sh ("wakeup.sh", "we", "us", or "our"). By accessing or using the service you agree to these Terms of Service. If you do not agree, do not use the service.

2. Beta service

wakeup.sh is currently in beta. Features, plans, and limits may change as the product evolves. We reserve the right to modify, suspend, or discontinue any part of the service at any time. We will make reasonable efforts to give notice of material changes that affect paying customers.

3. Accounts

You are responsible for activity under your account and for keeping your credentials and API keys secure. You must provide accurate account information and be at least 16 years old, or the age of digital consent in your jurisdiction. We may suspend, pause, or remove accounts that are abusive, inactive, or in violation of these terms, and will make reasonable efforts to notify affected users beforehand.

4. Plans, billing, and trials

Running agents locally (local schedules and local agent-to-agent dispatch) is free and unmetered. Giving an agent a public address is priced by the inbound wakes it receives, where a wake is any inbound web A2A call or inbound email: the Pro plan includes 25,000 wakes per month and the Team plan includes 250,000 per month plus live streaming delivery. Wakes are also subject to a per-key rate limit, a payload cap, and fair use. We may throttle or suspend usage that materially exceeds normal patterns or degrades the service for others. Paid plans begin with a free trial. A valid payment method is required to start a trial, and unless you cancel before the trial ends, the plan converts to a paid subscription and your payment method is charged the then-current price. Subscriptions renew automatically each billing period (monthly or annually) until cancelled. Prices are shown exclusive of taxes unless stated otherwise, and you are responsible for any applicable GST or other taxes.

You can cancel at any time from the billing portal; your plan remains active until the end of the current paid period and is not renewed thereafter. Except where required by law, including under the Australian Consumer Law, payments are non-refundable and we do not provide refunds or credits for partial periods or unused allowances. We may change prices on a prospective basis with reasonable notice.

5. Acceptable use

You agree not to:

  • Use the service to send unsolicited messages, spam, or malicious payloads
  • Attempt to circumvent rate limits, plan allowances, or the event delivery system
  • Use the service to trigger agents that perform illegal or harmful actions
  • Reverse engineer, decompile, or attempt to extract the source code of the service

6. Event data and retention

Events dispatched through wakeup.sh are stored for delivery purposes and retained according to your plan's retention period. We do not inspect event payloads except as necessary to operate the service (for example, routing and retries). See our Privacy Policy for how we handle personal information.

7. Service level

During beta, no uptime guarantee or SLA is provided. We aim for high availability, but the service may experience downtime for maintenance, updates, or unforeseen issues.

8. Disclaimers and liability

To the maximum extent permitted by law, the service is provided "as is" without warranties of any kind, and we are not liable for any indirect or consequential loss arising from your use of the service. Nothing in these terms excludes, restricts, or modifies any consumer guarantee, right, or remedy that cannot lawfully be excluded under the Australian Consumer Law or other applicable law.

9. Governing law

These terms are governed by the laws of New South Wales, Australia, and you submit to the non-exclusive jurisdiction of the courts of that state.

10. Changes to these terms

We may update these terms as the service evolves. Continued use of wakeup.sh after changes take effect constitutes acceptance of the updated terms.
